1. Acceptance of these Terms
By accessing or using Sarfolio, you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, do not use Sarfolio. Sarfolio is currently offered only to invited testers and is not available for public registration.
2. Eligibility and accounts
You must be at least 18 years old, legally able to enter a binding agreement, and invited by Sarro Solutions LLC to use Sarfolio. You must provide accurate account information, keep your credentials confidential, and promptly tell us at support@sarrosolutions.com if you suspect unauthorized access. You are responsible for activity under your account.
3. What Sarfolio provides
Sarfolio helps invited users organize manually entered personal-finance information and, where enabled, view portfolio and market information, use AI-assisted analysis, and configure guarded automation. Features may be added, changed, limited, suspended, or removed during testing. Displaying or describing a feature does not mean it is enabled for every user.
4. Alpaca accounts and brokerage boundaries
Each user owns and controls their own separate Alpaca account and authorizes Sarfolio's access to that account. Your Alpaca account is provided and governed by Alpaca's agreements and policies. Sarfolio and Sarro Solutions LLC are not Alpaca, are not a bank or broker-dealer, do not hold or custody your funds or securities, and do not combine user brokerage accounts.
During Sarfolio's initial private-testing release, Alpaca Connect is limited to read-only access to eligible paper accounts. Sarro Solutions LLC may support live brokerage accounts in a future release after completing the necessary security, compliance, and user-control requirements, but future availability is not guaranteed. The current connection may display balances, positions, orders, activity, and reports, but it does not permit connected invited users to place, modify, or cancel orders through Sarfolio. Personalized Aria portfolio assistance and auto-investing are also unavailable to connected invited users unless Sarro Solutions LLC separately enables and releases them under explicit controls. You can revoke Sarfolio's authorization through Alpaca and should contact us if you want the connection record removed.
5. Investment and financial information
Sarfolio provides software tools and informational output. Sarfolio and Sarro Solutions LLC are not registered investment advisers, broker-dealers, financial planners, tax advisers, or legal advisers. Nothing in Sarfolio is a recommendation, solicitation, guarantee, or substitute for professional advice tailored to your circumstances.
Financial markets involve risk, including loss of principal. Market data may be delayed, incomplete, unavailable, or inaccurate. You remain responsible for your financial decisions, your Alpaca account, the rules and limits you configure, and any action you authorize. Past performance does not guarantee future results.
6. Artificial intelligence
Sarfolio uses artificial intelligence to generate Aria responses, investment research, ratings, and, where separately enabled, inputs for guarded automation. AI output is generated from the information supplied to the model, may be incomplete or incorrect, and may not reflect current conditions. You must independently review AI output and should not rely on it as the sole basis for a financial, investment, tax, legal, or other consequential decision.
AI features have no authority to access or act on your brokerage account beyond the permissions and controls Sarfolio expressly makes available to you. An AI-generated suggestion does not itself place an order. If an automated investment feature is released for your account, it may operate only within the eligible investments, cash floor, spending caps, and safety rules you configure and within Sarfolio's additional safeguards. You remain responsible for reviewing those settings and their results. Sarro Solutions LLC may restrict or disable AI or automation features at any time for safety, compliance, or service reasons.
7. Acceptable use
You may use Sarfolio only for lawful, personal purposes consistent with these Terms. You may not:
- Access another person's account or data, share your invitation or credentials, or misrepresent your identity.
- Probe, bypass, disable, or interfere with authentication, tenant separation, trading safeguards, rate limits, or other security controls.
- Introduce malicious code, scrape or overload the service, or use automated access except through functionality we expressly provide.
- Use Sarfolio to violate law, third-party rights, Alpaca's terms, or the terms of another data provider.
- Copy, resell, sublicense, or commercially exploit Sarfolio or its content except with our written permission.
8. Third-party services
Sarfolio depends on third-party services, including Alpaca, OpenAI, Vercel, Neon, and market or reference data providers. Your use of a third-party account or service is also subject to that provider's terms and policies. We do not control and are not responsible for third-party services, their availability, their decisions, or changes they make to data, permissions, pricing, or functionality.
9. Ownership and feedback
Sarfolio, including its software, design, branding, and original content, is owned by Sarro Solutions LLC or its licensors and is protected by applicable intellectual-property law. These Terms give you a limited, revocable, nonexclusive, nontransferable right to use Sarfolio while authorized. You retain ownership of information you submit. If you provide suggestions or feedback, you allow us to use it without restriction or compensation, without identifying you publicly unless you agree.
10. Availability, testing, and changes
Sarfolio is in private testing and may contain errors or interruptions. We do not promise that the service or any particular feature will always be available, accurate, secure, or uninterrupted. We may change, pause, or discontinue all or part of the service and may set or change usage limits.
11. Suspension and termination
You may stop using Sarfolio at any time and may request account deletion by contacting us. We may suspend or terminate access if you violate these Terms, create risk or possible legal exposure, threaten the service or another user, or if we discontinue the private test. Provisions that by their nature should survive termination, including ownership, disclaimers, liability limits, and dispute provisions, will survive.
12. Disclaimers
To the fullest extent permitted by law, Sarfolio is provided "as is" and "as available." Sarro Solutions LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted or error-free operation. We do not warrant any financial outcome, investment performance, data accuracy, or AI output.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law, Sarro Solutions LLC and its members, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunities, trading losses, or interruption of business, arising from or related to Sarfolio, even if advised that such damages are possible.
To the fullest extent permitted by law, their total liability for all claims arising from or related to Sarfolio will not exceed the greater of the amount you paid Sarro Solutions LLC for Sarfolio during the 12 months before the event giving rise to the claim or 100 U.S. dollars. These limits do not apply where prohibited by law.
14. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Sarro Solutions LLC and its members, officers, employees, and contractors from claims, damages, losses, and reasonable costs arising from your unlawful misuse of Sarfolio, your violation of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim results from Sarro Solutions LLC's own unlawful conduct.
15. Governing law and disputes
These Terms are governed by the laws of the state in which Sarro Solutions LLC is organized, without regard to conflict-of-law rules, except where the law where you live requires otherwise. Any dispute that is not resolved informally will be brought in a court with jurisdiction where Sarro Solutions LLC is organized, unless applicable law gives you the right to bring it elsewhere. Before filing a claim, you agree to contact us and allow 30 days to try to resolve it informally.
16. Changes to these Terms
We may update these Terms as Sarfolio changes. We will post the revised Terms here, change the effective date, and provide additional notice when required. If you continue using Sarfolio after updated Terms take effect, you agree to them. If you do not agree, you must stop using the service.
17. General terms
These Terms and the Privacy Policy are the agreement between you and Sarro Solutions LLC about Sarfolio. If one provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganization, financing, merger, acquisition, or sale of the service.
